Warranty
VALUE FENCING® NAMIBIA
LIMITED PRODUCT, UV AND WORKMANSHIP WARRANTY
This Warranty must be read together with the applicable Estimate / Quotation, Tax Invoice, Final Invoice and Terms and Conditions of Sale issued by the contracting Value Fencing® entity.
This Warranty contains important provisions regarding:
• the identity of the warrantor
• warranty eligibility and proof requirements
• product and colour warranty limitations
• franchisor non-liability
• franchise network warranty continuity
• protection of Value Fencing® customer relationships.
By accepting supply, delivery or installation of Value Fencing® products, the Customer acknowledges and agrees to the terms of this Warranty.
1. IDENTITY OF THE WARRANTOR
1.1 This Warranty is provided only by the Value Fencing® Namibia franchise entity identified as the contracting party on the Estimate / Quotation and Tax Invoice ("the Contracting Company").
1.2 The Contracting Company operates as an independently owned and operated franchise business licensed to trade under the Value Fencing® brand within Namibia.
1.3 The Value Fencing® franchisor, Sound at Trix Technologies CC (South Africa), is the owner of the Value Fencing® intellectual property, trademarks and franchise system.
1.4 Unless the franchisor is expressly identified as the contracting supplier in writing, the franchisor is not the warrantor and shall not be responsible for warranty obligations arising from work performed by the Namibia franchisee.
1.5 Each authorised Value Fencing® franchisee warrants only the products supplied and services performed by that franchisee.
2. APPLICABLE LAW
2.1 Where the contracting party is a Namibia franchisee, this Warranty shall be governed by the laws of the Republic of Namibia.
2.2 Where products are supplied directly from South Africa by the franchisor or another Value Fencing® entity, applicable South African law may apply to that supply transaction.
2.3 Nothing contained in this Warranty excludes any rights that may arise under applicable Namibian consumer law.
3. WARRANTY ELIGIBILITY AND PROOF OF PURCHASE
3.1 This Warranty applies only to the original purchaser named on the Value Fencing® Tax Invoice.
3.2 The Customer must produce the original Tax Invoice when submitting any warranty claim.
3.3 Failure to provide proof of purchase may result in the warranty claim being declined.
3.4 This Warranty applies only for the lifetime of the original owner at the original installation address.
3.5 Where installations form part of:
• sectional title developments
• body corporate properties
• estates
• complexes
• commercial developments
• communal ownership structures
the warranty period shall be 20 (twenty) years from invoice date, irrespective of ownership changes.
3.6 Except where required by law, this Warranty is non-transferable.
4. LIMITED LIFETIME PRODUCT WARRANTY - STANDARD WHITE PVC
4.1 Subject to the terms and exclusions contained herein, the Contracting Company warrants that standard white PVC / uPVC material components supplied by the Contracting Company will remain free from manufacturing defects causing:
• peeling
• cracking
• chipping
• blistering
for the lifetime of the original owner, with a minimum express warranty period of 20 (twenty) years from invoice date.
4.2 For purposes of this Warranty, standard white PVC material refers to the factory white PVC colour supplied as the standard Value Fencing® material.
4.3 This warranty applies only to the PVC material substrate itself.
4.4 The warranty does not extend to:
• hardware
• accessories
• structural supports
• third-party additions.
4.5 The warranty applies only where the product has been:
• supplied by the Contracting Company
• properly installed
• used for its intended purpose
• reasonably maintained.
5. COLOUR AND UV PROTECTION WARRANTY
5.1 Standard White PVC
Standard white PVC material is covered for the same duration as the product warranty described in Clause 4.
5.2 Alternate Colours and Custom Colours
Any non-standard colour including:
• custom colour matches
• coated finishes
• painted finishes
• special-order colours
• alternate standard colours such as Anthracite
shall be covered against material discoloration caused solely by normal sunlight exposure for a period of 5 (five) years from invoice date only.
5.3 The colour warranty applies only to the colour stability of the material supplied and does not extend to:
• colour variation within manufacturing tolerances
• fading from abnormal environmental conditions
• heat distortion from darker colours
• repainting by third parties
• improper surface preparation
• incompatible coatings.
5.4 The colour warranty does not cover discoloration caused by:
• air pollution
• industrial fallout
• harmful chemicals
• corrosive substances
• unsuitable cleaning products
• misuse or neglect.
6. CLEANING AND MAINTENANCE
6.1 PVC products must be cleaned using non-abrasive cleaning products suitable for PVC materials.
6.2 Recommended cleaning products include:
• Domestos
• Kleen Green
• P-11
• or other suitable non-abrasive cleaners.
6.3 Abrasive cleaners, solvents, petroleum-based cleaners, acids or alkalis may cause damage and are not recommended.
6.4 Damage caused by unsuitable cleaning methods is excluded from this Warranty.
7. PAINTING AND COATING CONDITIONS
7.1 Painting of standard white PVC using acrylic roof paint after light sanding and proper preparation does not void the underlying PVC material warranty.
7.2 Paint finishes applied by the Customer or third parties are not covered under this Warranty.
7.3 Damage caused by:
• unsuitable primers
• incompatible coatings
• improper preparation
• dark heat-absorbing colours
• incorrect painting methods
is excluded.
7.4 Where PVC products are supplied in non-standard colours, the colour warranty remains limited to five (5) years as set out in Clause 5.
8. INSTALLATION AND WORKMANSHIP WARRANTY
8.1 The Contracting Company provides a 12-month workmanship warranty from completion of installation.
8.2 This warranty covers installation defects attributable solely to the Contracting Company.
8.3 This warranty does not cover:
• structural movement
• storm damage
• misuse
• third-party modifications.
9. NON-PVC COMPONENTS
The following components are excluded from this Warranty:
• hinges
• latches
• rollers
• brackets
• motors
• automation systems
• electric fencing
• electronic access systems
• sheeting or coverings.
Such components may carry separate manufacturer warranties where applicable.
10. STRUCTURAL EXCLUSIONS
This Warranty does not cover failures caused by:
• hollow block walls
• single-row brick walls
• precast walls
• retainer blocks
• defective foundations
• poor concrete
• soil movement
• structural wall movement.
11. THIRD-PARTY MODIFICATIONS
Damage caused by modifications or additions by third parties is excluded.
12. WARRANTY CLAIM PROCESS
12.1 Warranty claims must be submitted in writing.
12.2 The Customer must provide:
• original Value Fencing® Tax Invoice
• installation address
• description of defect
• photographs where available.
12.3 The Contracting Company may investigate the claim through:
• site inspection
• remote inspection
• inspection of returned parts.
12.4 If the claim is valid, the Contracting Company may at its discretion:
• repair the defect
• replace defective components
• rectify the installation.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Contracting Company shall not be liable for:
• indirect damages
• consequential loss
• business interruption
• inconvenience.
Where liability cannot be excluded by law, liability shall be limited to the value of the defective goods or services.
14. FRANCHISOR NON-LIABILITY
Unless the Value Fencing® franchisor is expressly identified as the contracting party, the franchisor shall not be responsible for warranty obligations arising from installations performed by the Namibia franchisee.
15. WARRANTY CONTINUITY
If the Namibia franchisee:
• ceases trading
• becomes insolvent
• leaves the franchise network
• loses its licence
• rebrands
the franchisor may appoint another authorised Value Fencing® franchisee to administer warranty obligations.
The franchisor may assist but is not obliged to assume the original franchisee's contractual liability.
16. FORMER OR UNAUTHORISED FRANCHISEES
Former franchisees may not:
• administer Value Fencing® warranties
• represent themselves as authorised Value Fencing® representatives
• divert existing warranty relationships.
17. CLIENT NON-SOLICITATION PROTECTION
Where a Value Fencing® installation originated through the authorised franchise network, the warranty relationship remains within the Value Fencing® network.
Former franchisees may not assume warranty obligations by misrepresenting affiliation with the Value Fencing® brand.
18. ENTIRE WARRANTY
This document together with the Terms of Sale, Quotation and Invoice constitutes the entire Warranty agreement.
No verbal statement shall vary this Warranty unless recorded in writing.
19. NETWORK CLIENT PROTECTION AND WARRANTY ADMINISTRATION RIGHTS
19.1 Value Fencing® operates as a franchise network licensed by the franchisor in South Africa.
19.2 Where the Customer originally purchased products through an authorised franchisee, the customer relationship and warranty administration form part of the Value Fencing® franchise system.
19.3 If a franchisee ceases trading, loses its licence, rebrands or becomes insolvent, the franchisor may reassign warranty administration to another authorised Value Fencing® franchisee.
19.4 This clause ensures:
• continuity of service
• preservation of product standards
• protection of warranty integrity
• stability of the franchise network.
20. CROSS-BORDER FRANCHISOR LIABILITY LIMITATION
20.1 The Value Fencing® franchisor, Sound at Trix Technologies CC (South Africa), acts solely as the owner and licensor of the Value Fencing® franchise system and intellectual property.
20.2 The franchisor does not operate as the contracting supplier within Namibia unless expressly stated in writing.
20.3 Any contract for the supply or installation of Value Fencing® products within Namibia exists solely between the Customer and the Namibia franchise entity identified on the quotation or invoice.
20.4 The Customer agrees that any claim arising from:
• installation
• workmanship
• supply of goods
• pricing
• service obligations
• warranties
shall be directed only against the Namibia contracting franchise entity.
20.5 The franchisor shall not be liable for any:
• loss
• damage
• delay
• defect
• breach of contract
arising from work performed by a Namibia franchisee.
20.6 Nothing in this clause excludes liability that cannot lawfully be excluded under applicable law where the franchisor has directly contracted with the Customer.
